These Terms of Service (“Terms”) govern your access to and use of the Okrate platform (“Platform”), operated by Okrate FZ-LLC, a company incorporated under the laws of the United Arab Emirates, with its principal place of business at G10, Building 14, Dubai Internet City, Dubai, UAE (“Okrate,” “we,” “us,” or “our”).
By accessing, browsing, or using our web or mobile services, or related features (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Definitions“Customer”, “You”, “User” – the legal entity or individual accessing and using the Services.
“Authorized Users” – individuals authorized by the Customer to access the Platform.
“Subscription Plan” – a paid plan defining the features and usage limits of the Platform.
“Personal Data” – any information relating to an identified or identifiable natural person.
“Processing” – any operation performed on personal data, including collection, storage, use, and deletion.
2. Eligibility & ScopeYou must be at least 18 years old to use Okrate.
The Services are available only to businesses and authorized employees. By agreeing to these Terms, you represent that you have the authority to bind the organization you represent.
3. About OkrateOkrate is a performance management platform focused on KPI tracking, employee engagement, and goal alignment. It is available as a web-based platform, mobile application, and via API. Login is possible using email or integrated Google authentication.
4. Account Registration & AccessYou are responsible for maintaining the confidentiality of your login credentials.
You agree to provide accurate and complete information during registration.
You are fully responsible for any activity under your account.
5. Use of the PlatformYou agree to use the Services only for lawful, business-related purposes and in accordance with these Terms. You may not:
• Reverse engineer, decompile, or disassemble the software;
• Attempt to access data of other customers or users;
• Use bots, crawlers, or automated systems without our written permission;
• Use the Services to violate applicable laws or third-party rights;
• Upload or share discriminatory, abusive, or illegal content;
• Circumvent or disable any access control or usage limits.
6. Subscriptions & BillingOkrate offers paid subscription plans. Prices and features vary depending on the plan.
No refunds are provided once a payment has been processed, unless required by applicable law.
You can access a live demo or participate in platform testing before committing.
Payment processing is provided by chargebee.com. You will receive a billing confirmation upon each transaction.
7. Trial & Evaluation AccessOkrate may occasionally offer limited demo access or platform evaluations. Access granted for such purposes is time-limited, non-transferable, and non-renewable unless explicitly stated.
8. Data Ownership & PortabilityYou retain full ownership of any data uploaded into the platform, including KPI structures, employee lists, or performance results.
By using our Services, you grant Okrate a license to store, process, and analyze this data solely for the purpose of delivering the Services.
Upon request, you may export your data in a machine-readable format (e.g., CSV or JSON). Data deletion requests will be processed within 30 business days, unless required otherwise by law.
9. Privacy & Data ProtectionOkrate processes all data in accordance with applicable UAE data protection laws, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). For full details, see our

10. Intellectual PropertyOkrate and all related trademarks, logos, content, and software are the intellectual property of Okrate FZ-LLC. You may not use, copy, or distribute our materials without prior written consent.
11. Service Availability & ModificationsWe reserve the right to modify, suspend, or discontinue any part of the Services at any time.
Okrate is not liable for any interruption, delays, or loss of data caused by factors beyond our control (e.g., internet outages, third-party failures, force majeure).
12. Changes to TermsWe may update or modify these Terms at any time. If changes are material, we will notify you via email or through the platform. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
13. Limitation of LiabilityTo the maximum extent permitted by law:
Okrate shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Services.
Our total liability in any matter shall not exceed the fees you have paid in the six (6) months preceding the claim.
14. TerminationWe may suspend or terminate your access to the Services if you violate these Terms. You may cancel your subscription at any time by contacting us.
15. Governing Law & JurisdictionThese Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.
16. Service Level Agreement (SLA)We target a monthly uptime of 99.5%, excluding scheduled or emergency maintenance. Support response times depend on issue severity:
